Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and ShopCentral, operated by BigMerchant("we", "us", or "our"), governing your access to and use of the ShopCentralmobile apps and website (the "Services"). By creating an account or placing an order, you agree to these Terms. If you do not agree, do not use the Services.

1. OUR SERVICES

ShopCentralis an online marketplace that connects you with independent local stores ("Stores") — including restaurants, groceries, supermarkets, and pharmacies — and enables you to order their products for delivery or pickup. Where you choose delivery, the order may be delivered by an independent delivery partner ("Rider").

We provide the technology that lets you browse Stores, place and pay for orders, and track them. We are not the manufacturer, producer, or seller of the items you order. The Store is responsible for its products, including their preparation, quality, safety, accuracy of listings, and compliance with applicable laws (such as food-safety and the sale of age-restricted or pharmacy items).

2. ELIGIBILITY

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services you represent that you meet these requirements and that the information you provide is accurate. Certain items (for example, some pharmacy or age-restricted products) may be subject to additional eligibility or verification requirements set by the Store or by law.

3. YOUR ACCOUNT

To order, you must create an account with accurate, current information. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorised use. We may refuse, suspend, or terminate accounts at our discretion, including for suspected fraud or breach of these Terms. 4. PLACING ORDERS

When you place an order, you make an offer to purchase the selected items from the Store. The order is confirmed once the Store accepts it. Item availability, descriptions, and images are provided by Stores and may occasionally be inaccurate or out of date; a Store may be unable to fulfil all or part of an order, in which case we will notify you and refund any amount paid for unavailable items.

You are responsible for providing a correct delivery address and contact details, and for being available to receive a delivery order or to collect a pickup order within the stated window.

5. PRICES, FEES, AND PAYMENT

Item prices are set by the Stores. The total you pay may also include a delivery fee, a service fee, applicable taxes, and any discounts — all shown to you before you confirm the order. By confirming, you authorise us, through our third-party payment processor, to charge your chosen payment method for the order total.

Payments are handled by a PCI-compliant payment provider; we do not store your full card details. You are responsible for any charges incurred under your account. Prices and fees may change over time, but the amount shown at checkout applies to that order.

6. DELIVERY AND PICKUP

Estimated preparation and delivery times are estimates only and are not guaranteed. For delivery orders, please ensure someone is available to receive the order at the address provided. For pickup orders, please collect within the window communicated in the app. If a delivery cannot be completed because you are unavailable or the address is incorrect, the order may be returned and additional charges may apply.

7. CANCELLATIONS AND REFUNDS

You may cancel an order before the Store accepts it for a full refund. Once a Store has accepted and begun preparing an order, cancellation may not be possible, or fees may apply, because the Store may have already incurred costs.

If something is wrong with your order — for example, missing items, incorrect items, or a quality issue — contact us promptly through the app or at our support address and we will work with you and the Store to resolve it. Refunds, where due, are issued to your original payment method and may take several business days to appear. Refund and return outcomes may depend on the Store's policies and the nature of the items (for example, perishable goods).

8. ACCEPTABLE USE

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harmful purpose.
  • Provide false information, impersonate others, or place fraudulent or fake orders.
  • Abuse, harass, or threaten Store staff, Riders, other users, or our team.
  • Interfere with, disrupt, or attempt to gain unauthorised access to the Services or their security.
  • Scrape, copy, or misuse content, or attempt to reverse-engineer the Services.
  • Resell items obtained through the Services without authorisation.

9. RATINGS AND REVIEWS

You may be able to rate and review orders and Stores. Reviews must be honest, based on your own experience, and must not contain unlawful, defamatory, or offensive content. You grant us a non-exclusive, royalty-free licence to use, display, and distribute the reviews you submit in connection with the Services. We may remove content that violates these Terms.

10. INTELLECTUAL PROPERTY

The Services, including the ShopCentral name, logo, software, and content we provide, are owned by BigMerchant or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended personal, non-commercial purpose. Store names, logos, and product content belong to the respective Stores.

11. THIRD-PARTY STORES AND CONTENT

Listings, menus, images, and product information are supplied by Stores, and the Services may contain links to third-party sites or services. We do not control and are not responsible for third-party content, products, or practices. Your dealings with Stores and any third party are solely between you and them.

12. SUSPENSION AND TERMINATION

You may stop using the Services at any time and may delete your account. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we suspect fraud or misuse, or as required to comply with law or protect the Services and other users. Sections that by their nature should survive termination (including payment obligations, disclaimers, and limitations of liability) will survive.

13. DISCLAIMERS

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. ShopCentral is a marketplace and is not responsible for the preparation, quality, or safety of items provided by Stores; responsibility for the products rests with the Store that sells them.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, BigMerchant and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services or an order will not exceed the greater of the amount you paid for the order giving rise to the claim or such minimum amount as required by applicable law. Nothing in these Terms excludes liability that cannot be excluded by law.

15. INDEMNIFICATION

You agree to indemnify and hold harmless BigMerchant, its affiliates, and their staff from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

16. GOVERNING LAW

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Nigeria for any dispute not subject to the dispute-resolution process below.

17. DISPUTE RESOLUTION

If you have a concern, please contact us first at legal@bigmerchant.co so we can try to resolve it informally. Most issues can be settled quickly this way. If we cannot resolve a dispute informally, it will be handled in accordance with the governing law and jurisdiction set out above.

18. CHANGES TO THESE TERMS

We may modify these Terms from time to time. The updated version will be indicated by a revised "Last updated" date and becomes effective when posted. For material changes we may provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
